Our compensation follows the revenue the commercial function actually realizes, keeping your costs aligned with the strength and growth of the business.

Initial activation of the commercial function.
Covers
Setup of the applicable channels, processes, systems, and operating structure.
Mexican Entity Setup and other separately contracted Specialized Services are not included.

Ecommerce and marketplaces: from 8%.
Monthly minimum from US $2.5k. The applicable monthly charge will be either the minimum or the performance commission, whichever is higher.

Terms
Applies for 6 months after termination. The tail is waived after 24 consecutive months of active engagement.

Commission basis
Net Collected Revenue
Commission is based on amounts actually collected from sales in the defined territory and scope, not amounts invoiced. It accounts for refunds, returns, chargebacks, discounts, promotional credits, commercial rebates, and marketplace selling or transaction commissions. It does not deduct taxes, media, fulfillment, warehousing, shipping, import, packaging, or other operating expenses.
Within the agreement
Ownership
You retain entity, inventory, billing, accounts, team, and tax obligations. We build and run the commercial function, including recruiting, training, and supervising the in-scope team, under your structure.
Territory
The engagement defines the applicable territory, channels, and scope. We don't represent direct competitors within that scope.
Data
Relevant sales and operating data are shared transparently, with performance reporting available throughout the engagement.
Minimum term
6 months. Following the initial term, the engagement continues month-to-month and you may terminate upon 30 days' written notice.

Mexican Entity Setup
We set up the Mexican entity from scratch: legal structure, RFC, banking, regulatory compliance. The brand operates under its own structure from day one.
HR Operations
Payroll and recurring HR administration for personnel in departments outside the Commercial Representation scope.
Fiscal Management
We coordinate the tax obligations of your Mexican entity: revenue and inventory information, fiscal compliance, and recurring filing coordination.

Do I need to have a Mexican entity already in place?

No. Commercial Representation runs within a client-owned Mexican structure, but we can establish that company and its operating foundation when you do not already have them. Mexican Entity Setup is scoped separately, and qualified legal and tax advisors remain responsible for their respective work.
Who pays taxes, rents, and salaries?

You. Taxes, rental contracts, and payroll run through your Mexican entity. For the channels we manage, we prepare a breakdown of sales, commissions, fees, and applicable transaction taxes, ready for integration into your accounting records. Tax filings and the entity's broader accounting remain with your accounting team or a separately contracted Fiscal Management service.
Who owns the client relationship?

You. We represent your brand commercially, but the relationship, contract, and data remain under your name.
How does this differ from Brand Operations Partner?

Commercial Representation builds and runs a commercial function owned by you, including recruiting, training, and supervising your in-scope team. Brand Operations Partner includes that commercial leadership and extends it through our own personnel, payroll, processes, and operating structure.
